## 1. Definitions
– Buyer: The individual or entity purchasing a vehicle or item through the Platform.
– Seller: The individual or entity selling a vehicle or item through the Platform.
– User: Any individual or entity using the Platform, including Buyers and Sellers.
– Transaction: The sale or purchase of a vehicle or item facilitated through the Platform.
– Transaction Fee: A percentage-based fee charged by us for facilitating the Transaction, as specified during the Transaction process, payable by the Buyer, Seller, or both.
– Delayed Payment Account: A secure account managed by our payment partner, Stripe, where funds are held and released based on the completion of tasks by the Buyer and Seller.
– Bill of Sale: A legal document provided through the Platform to Formalise the Transaction.
## 2. Eligibility
2.1. To use the Platform, you must:
– Be a resident of the United Kingdom or have a valid UK address for the Transaction.
– Provide accurate and complete information during registration and ID verification.
2.2. We reserve the right to refuse service to anyone who does not meet these eligibility criteria or violates these Terms.
## 3. Services Provided
3.1. We provide an escrow-like service using a delayed payment strategy to facilitate secure Transactions between Buyers and Sellers, including:
– Secure payment processing via Stripe, with funds held in a Delayed Payment Account until task completion.
– Identity verification to confirm User identities, with ID and payment details held by Stripe and accessible to us as necessary.
– Provision of legal documents, such as a Bill of Sale, to Formalise Transactions.
3.2. We act as an intermediary and do not take ownership of the vehicles or items involved in Transactions.
3.3. We are not a party to the Transaction agreement between Buyer and Seller, except as provided in these Terms.
3.4. Payments and actions are triggered by the Buyer’s and Seller’s completion of specific tasks, as outlined in the Transaction process.
## 4. Transaction Process
4.1. Initiating a Transaction:
– The Seller lists the vehicle or item on the Platform, providing accurate details, including price and condition.
– The Buyer agrees to purchase the vehicle or item at the listed price.
– Both parties complete ID verification as required by the Platform, with details held by Stripe.
4.2. Payment:
– The agreed purchase price and Transaction Fee are paid to the Delayed Payment Account via Stripe.
– The Transaction Fee may be paid by the Buyer, Seller, or both, as agreed during the Transaction process and displayed on the Platform.
– Funds are held securely until the required tasks (e.g., delivery, confirmation of receipt) are completed.
4.3. Task Completion and Delivery:
– The Seller delivers the vehicle or item to the Buyer, or the Buyer collects it, as agreed.
– The Buyer confirms receipt and satisfactory condition of the vehicle or item.
– We provide a Bill of Sale to Formalise the Transaction.
4.4. Release of Funds:
– Upon completion of all required tasks, funds (minus the Transaction Fee) are released to the Seller via Stripe.
– If the Transaction is cancelled, see Section 7 (Cancellations and Non-Refundable Fees).
4.5. We reserve the right to cancel or suspend a Transaction if we suspect fraud, non-compliance with these Terms, or other unlawful activity.
## 5. Transaction Fees
5.1. We charge a Transaction Fee, calculated as a percentage of the purchase price, as displayed during the Transaction process.
5.2. The Transaction Fee may be paid by the Buyer, Seller, or both, as agreed by the parties and confirmed on the Platform.
5.3. The Transaction Fee is non-refunded, including in the event of Transaction cancellation.
5.4. All payments are processed securely via Stripe, and you agree to Stripe’s terms of service (available at https://stripe.com/gb/legal).
## 6. Identity Verification
6.1. Users must complete ID verification as part of the Transaction process, which may include providing government-issued identification and other documentation.
6.2. ID and payment details are held securely by Stripe, and we have access to this data as necessary to provide our services and comply with UK anti-money laundering and fraud prevention regulations.
6.3. Failure to provide accurate or verifiable identification may result in Transaction cancellation and account suspension.
## 7. Cancellations and Non-Refundable Fees
7.1. If a Transaction is cancelled after funds have been transferred to the Delayed Payment Account, the Transaction Fee and any applicable cancellation fees are non-refunded.
7.2. Cancellation fees, if applicable, will be disclosed during the Transaction process.
7.3. We do not issue refunds for any payments made to the Delayed Payment Account, including the purchase price or Transaction Fee, regardless of the reason for cancellation.
7.4. Any disputes or issues arising from a Transaction, including cancellations, are the sole responsibility of the Buyer and Seller to resolve privately. We do not mediate, intervene, or assume liability for such matters.
## 8. User Responsibilities
8.1. Buyers:
– Verify the condition of the vehicle or item before confirming receipt.
– Provide accurate payment and delivery information.
– Comply with all Transaction terms, task requirements, and legal obligations.
8.2. Sellers:
– Provide accurate and complete descriptions of the vehicle or item.
– Deliver the vehicle or item as agreed and in the described condition.
– Ensure legal ownership and the right to sell the vehicle or item.
8.3. All Users must:
– Comply with these Terms and all applicable UK laws.
– Maintain the confidentiality of account credentials.
– Notify us immediately of any unauthorized account use or security breaches.
8.4. Users acknowledge that any disputes or issues with a Transaction are to be resolved directly between the Buyer and Seller without our involvement.
## 9. Limitation of Liability
9.1. To the fullest extent permitted by law, we are not liable for:
– Losses arising from inaccurate information provided by Users.
– Defects, damage, or non-delivery of vehicles or items.
– Disputes, cancellations, or other issues between Buyers and Sellers.
– Unauthorized access to your account due to your failure to secure credentials.
– Any losses arising from Transactions, including financial losses due to cancellations or non-delivery.
9.2. Our total liability to you for any claim arising from these Terms or the Platform shall not exceed the Transaction Fee paid for the relevant Transaction.
9.3. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law.
## 10. Data Protection
